1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Crockett LLC, operating as Agentifiq ("Agentifiq," "we," "us," or "our"), a Texas limited liability company with its principal place of business at 1901 Pacific Ave, Suite 12030, Dallas, TX 75201.

By accessing agentifiq.com, creating an account, or using any part of the Agentifiq platform or services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the platform.

We may update these Terms from time to time. When we make material changes, we will notify you by email and by displaying a notice in the platform. Your continued use of the platform after the effective date of any changes constitutes acceptance of the revised Terms.

2. Services

Agentifiq provides a suite of AI-powered business automation services delivered through a multi-tenant web platform and API. Our current service offerings include:

• AI Receptionist (Voice & SMS): an AI agent that handles inbound phone calls and text messages on behalf of your business, answers frequently asked questions, schedules appointments, and escalates to a human when needed.
• Review Management: automated monitoring of review platforms, AI-generated response drafts, and review campaign tools to help you build and maintain your online reputation.
• SEO Automation: AI-driven content generation, keyword research integration, and publishing workflows to support your organic search strategy.
• Engagement Widget: embeddable lead capture and chat widgets for your website, connected to your CRM and AI Receptionist.
• MCP Integration: Model Context Protocol (MCP) connectors that allow your existing business tools to exchange context with Agentifiq's AI agents.
• Workflow Automation: configurable trigger-action workflows that automate repetitive tasks across your connected applications.
• Custom App Development: bespoke application and integration development services scoped via separate Statement of Work agreements.
• AI/ML Solutions: custom model fine-tuning, inference infrastructure, and data pipeline work scoped via separate Statement of Work agreements.

Services are delivered via the Agentifiq web platform at agentifiq.com and associated subdomains, as well as programmatic access through our API. The specific services available to you depend on your subscription plan.

We reserve the right to modify, add, or discontinue features at any time. For material changes to existing features, we will provide at least 30 days' written notice by email. We will endeavor to provide reasonable advance notice for deprecation of features that you actively use.

3. Accounts & Access

Account Registration

To access the Agentifiq platform, you must create an account by providing accurate, current, and complete information. You agree to keep your account information up to date. Accounts created with false information, including fictitious names or email addresses you do not control, may be suspended or terminated.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:

• Use a strong, unique password for your Agentifiq account.
• Enable two-factor authentication, which we strongly recommend for all accounts.
• Notify us immediately at legal@agentifiq.com if you suspect unauthorized access to your account.
• Not share your credentials with any person outside your organization.
• Not permit concurrent use of your credentials by multiple individuals unless using our supported multi-user features.

Agentifiq will not be liable for any loss or damage resulting from your failure to maintain account security. You acknowledge that we may, without prior notice, suspend or terminate accounts that we reasonably believe have been compromised.

Multi-Tenant Environments

The Agentifiq platform supports multi-tenant organizations. If you are the account owner (tenant owner), you are responsible for all users you invite into your tenant environment, all activity performed by those users, and all charges incurred by your tenant. You must only grant access to individuals authorized to act on behalf of your organization. You are responsible for revoking access promptly when a user's authorization ends.

Accurate Billing Information

You must maintain accurate billing information on your account at all times. Failure to maintain valid payment information may result in service suspension. You authorize us to attempt to charge any payment method on file for outstanding balances.

4. Payment & Billing

Subscription Plans

Access to the Agentifiq platform is offered on a subscription basis. Subscriptions are billed in advance, either monthly or annually depending on the plan you select at signup. Annual plans are billed as a single payment for the full year and may be offered at a discounted rate compared to monthly billing.

Payment Processing

All payment processing is handled by Stripe, Inc. By providing payment information, you authorize Agentifiq to instruct Stripe to charge your payment method for all applicable subscription fees, usage overage charges, and any other amounts due under these Terms. Stripe's services are governed by its own terms of service. We do not store raw credit card numbers on our servers.

Refunds

Subscription fees are non-refundable except as required by applicable law. We do not provide prorated refunds for partial subscription months if you cancel mid-cycle. If you cancel an annual subscription, you retain access through the end of the paid period; no refund is issued for the unused portion unless required by law or unless a refund is expressly offered as part of a promotion.

If you believe you were charged in error, contact us at legal@agentifiq.com within 30 days of the disputed charge and we will investigate promptly.

Failed Payments and Service Suspension

If a payment fails, we will notify you by email and attempt to collect payment again. If payment is not successfully collected within 7 calendar days of the initial failure, your account will be suspended. During suspension, you will not be able to use the platform, but your data will be retained for the duration of the suspension period. If payment is not collected within 30 days following suspension, your account may be terminated and your data may be deleted pursuant to our data retention policy.

Price Changes

We reserve the right to change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle following at least 30 days' written notice by email. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for paying all taxes, duties, and levies imposed by any taxing authority in connection with your use of the platform, excluding taxes based on our net income. Where we are required by law to collect taxes, we will add them to your invoice.

5. Acceptable Use

You agree to use the Agentifiq platform only for lawful purposes and in a manner consistent with all applicable laws and regulations. The following uses are expressly prohibited:

Prohibited Content and Communications

• Sending spam, unsolicited commercial communications, or bulk messaging in violation of CAN-SPAM, TCPA, or applicable anti-spam laws.
• Transmitting, storing, or processing any content that is illegal, defamatory, obscene, harassing, threatening, or that infringes third-party intellectual property rights.
• Using the AI Receptionist to impersonate a human to callers in any jurisdiction where AI disclosure is legally required, without providing the required disclosure.
• Using the platform to facilitate fraud, identity theft, phishing, or any other deceptive practice.

Technical Restrictions

• Reverse engineering, decompiling, disassembling, or otherwise attempting to extract source code or underlying algorithms from the platform.
• Attempting to circumvent usage limits, rate limits, access controls, or subscription tier restrictions.
• Scraping, crawling, or systematically extracting data from the platform by automated means without our express written permission.
• Introducing malware, viruses, or any code designed to disrupt or damage the platform or other users' environments.
• Using the platform to attack, probe, or scan third-party systems without authorization.
• Sharing API keys or webhook credentials with unauthorized third parties.

Resale and Sublicensing

• Reselling, sublicensing, or white-labeling the Agentifiq platform without a separate reseller agreement executed with Agentifiq.
• Offering Agentifiq's services to third parties as a bureau or managed service provider without authorization.

Violation of these acceptable use requirements may result in immediate suspension or termination of your account without refund. We reserve the right to investigate suspected violations and cooperate with law enforcement authorities.

6. Intellectual Property

Agentifiq's Intellectual Property

The Agentifiq platform, including all software, algorithms, user interfaces, documentation, trademarks, service marks, and other content created by us, is owned by Crockett LLC and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the platform. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business purposes during the term of your subscription.

Your Data

You retain all rights, title, and interest in and to the data you upload to, generate through, or store within the Agentifiq platform ("Customer Data"). You are solely responsible for ensuring you have all rights necessary to provide Customer Data to the platform and for the accuracy, quality, and legality of your Customer Data.

License Grant to Agentifiq

You grant Agentifiq a limited, worldwide, royalty-free license to access, process, store, and transmit Customer Data solely to the extent necessary to provide the contracted services to you. This license terminates upon expiration or termination of your subscription, subject to our data retention obligations.

AI-Generated Outputs

AI-generated content produced by the platform using your data — including call summaries, response drafts, SEO content, and workflow outputs — is delivered to you as part of the service. Subject to applicable law regarding AI-generated works, you own such outputs for your business purposes. We do not claim ownership of AI outputs generated from your Customer Data.

Feedback

If you provide feedback, suggestions, or ideas about the platform, you grant us an irrevocable, perpetual, worldwide, royalty-free license to use and incorporate that feedback into our products and services without any obligation to you.

7. Voice & SMS Services

The AI Receptionist and related voice and SMS capabilities involve telecommunications services and AI processing that are subject to additional terms and regulatory requirements.

Call Recording and Consent

Call recording laws vary significantly by jurisdiction. Many US states require one-party consent (only one party to a call must consent to recording), while others require all-party consent (all parties must be notified and consent). By activating call recording in the AI Receptionist, you represent and warrant that you are compliant with all applicable call recording laws in the jurisdictions where your callers are located. Agentifiq is not responsible for your compliance with call recording disclosure obligations. You are solely responsible for ensuring appropriate disclosures are made to callers.

SMS and Messaging Compliance

SMS services provided through the Agentifiq platform are subject to:

• Carrier rules and messaging guidelines, including those of the CTIA (Cellular Telecommunications Industry Association).
• 10DLC (10-Digit Long Code) registration requirements. You are responsible for providing accurate brand and campaign information necessary for 10DLC registration. Failure to maintain valid 10DLC registration may result in carrier filtering of your messages.
• TCPA (Telephone Consumer Protection Act) requirements, including obtaining proper consent before sending marketing messages.
• CAN-SPAM Act requirements for commercial electronic messages.

AI Disclosure

Some jurisdictions may require disclosure to callers or message recipients that they are interacting with an AI system rather than a human. You are responsible for understanding and complying with any such disclosure requirements in jurisdictions where your customers are located. Agentifiq's AI Receptionist includes configurable greeting messages that can be used to make such disclosures; however, the legal adequacy of any disclosure is your responsibility.

Infrastructure and Call Quality

Voice and SMS services are delivered over the public switched telephone network (PSTN) and carrier infrastructure operated by third parties including SignalWire and Telnyx. We target high availability but cannot guarantee call quality, deliverability, or uptime for services that depend on carrier and PSTN infrastructure outside our control. We are not liable for call quality issues, dropped calls, or message delivery failures attributable to carrier or PSTN infrastructure.

8. Disclaimers

Services provided "as is." The Agentifiq platform and all services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Uptime and Availability

We target 99.5% monthly uptime for the core platform, measured excluding scheduled maintenance windows. This target is an operational goal, not a contractual service level agreement unless a separate SLA has been executed with you. We will make reasonable efforts to provide advance notice of scheduled maintenance. We are not liable for downtime caused by events outside our reasonable control, including carrier outages, cloud infrastructure failures, DDoS attacks, or acts of God.

AI-Generated Content

AI systems, including those powering the Agentifiq platform, can produce outputs that are inaccurate, incomplete, outdated, or otherwise unreliable. AI-generated content — including but not limited to call responses, call summaries, SEO content, review responses, and workflow decisions — should be reviewed by a qualified human before being relied upon for important business decisions. Agentifiq makes no representation that AI outputs are accurate, complete, or suitable for any particular purpose.

The Agentifiq platform is not a provider of legal, medical, financial, or other professional advice. Any information generated by the platform should not be construed as professional advice. You should seek appropriate professional guidance for decisions in these areas.

9. Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.

10. Termination

Termination by You

You may cancel your subscription at any time through your account settings or by providing 30 days' written notice to legal@agentifiq.com. Cancellation takes effect at the end of your current billing period. You will retain access to the platform through the end of the paid period. No refund will be issued for the unused portion of a prepaid subscription unless required by law.

Termination by Agentifiq

We may terminate your account or suspend access to the platform:

• For convenience: with 30 days' written notice by email, in which case we will refund any prepaid fees for the remaining unused period.
• For cause — immediately: if you materially breach these Terms (including the Acceptable Use Policy), fail to pay amounts owed after the cure period, or engage in conduct that we reasonably believe exposes Agentifiq or others to legal liability or reputational harm. We will provide notice of the reason for termination where legally permissible.
• For non-payment: as described in Section 4 (Payment & Billing).

Effect of Termination

Upon termination or expiration of your subscription:

• Your access to the platform and all associated services will cease.
• You will have 30 days to export your Customer Data using the platform's data export tools. After this period, your data will be deleted in accordance with our data retention policy.
• All outstanding fees become immediately due and payable.
• Provisions of these Terms that by their nature should survive termination will survive, including Sections 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), and 11 (Governing Law).

If you need your data exported in a custom format or require assistance with migration, please contact us as early as possible before your termination date.

11. Governing Law & Dispute Resolution

Governing Law

These Terms and any dispute arising out of or relating to them or the platform shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@agentifiq.com and attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving written notice. If we cannot reach an informal resolution within 30 days, either party may proceed to arbitration as described below.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, that cannot be resolved informally, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and Mediation Procedures. The arbitration shall be conducted in Dallas, Texas, USA, or remotely by mutual agreement. The arbitrator's decision shall be final and binding, and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent irreparable harm pending arbitration. Claims involving amounts of $10,000 or less may be brought in a small claims court of competent jurisdiction.
